General Terms and Conditions for Distributorship of Propaganda Products
1. Territory
We will designate a specific territory for your appointment as our Distributor. Enclosed is an information form that must be completed and returned, signed and stamped, if you agree to become our Distributor. The appointment will be based on mutual consent and can be terminated by either party with one month’s notice unless a specific agreement period is established. Our company offers exclusive distribution rights to dealers who demonstrate the capacity and capability to market our products effectively. We will not appoint another Distributor in the same territory for the same product category, provided you maintain your sales performance
2. Promotional Materials
We will supply you with promotional materials, including visual aids, literature, product cards, and physician samples at actual pricing. MR bags will be available for purchase at ₹900 each; no free MR bags will be provided. Additionally, we will not supply free goods or bonuses. You are required to achieve a minimum purchase of ₹30,000 per district per month (with at least 50 products to promote) at our billed amounts, with an annual sales growth target of 30%. Bills will be issued according to the current price list (PCD PRICE), inclusive of excise duty. Failure to maintain continuous purchases for two consecutive months will result in the cancellation of this agreement.
3. Price List
All product prices are available on our website. Products will be supplied at net rates only, excluding GST and freight charges. Management reserves the right to adjust prices as necessary due to unforeseen circumstances or legal requirements.
4. Terms of Payment
All goods will be supplied with 100% payment through bank transfers; we do not provide direct supplies to any party without proper surety. No other payment terms will be accepted. In emergencies, we may supply goods directly only up to the amount of your deposit with the company or as determined by management. The company reserves the right to appoint additional dealers or take necessary actions if purchases and timely payments do not meet specified amounts. Exclusive distribution rights will be maintained as long as payments and purchases comply with our guidelines.
5. Transport
Goods will be supplied via a reputable transport or courier service with branches in both Delhi and your town. If direct transport is unavailable for your location, we will send the goods to the nearest town, and it will be the Distributor’s responsibility to collect the goods at their own expense. We do not reimburse any costs incurred for transporting goods from the nearest town. Freight charges will be the responsibility of the Distributor, and goods may be dispatched via post, speed post, courier, air cargo, or other transport options chosen by the Distributor.
6. Breakage Claims
Breakage claims will only be accepted if we receive damaged goods—such as broken caps, bottles, or labels—within 30 days from the date of dispatch. You must notify us of any breakages within 15 days of receipt. Claims must be submitted within 30 days of dispatch, providing details such as product name, batch number, expiry date, quantity, invoice number, and date. You must also return the damaged products in their original packaging at your expense. Please note that claims submitted after this timeframe will not be entertained.
7. Return, Expired, and Non-Moving Goods
We do not accept returns on sold goods unless special circumstances arise and management grants approval. Any returned goods must have more than six months of shelf life. Short-expiry items that were confirmed by the party will not be accepted for return under any circumstances. Expired or non-moving goods supplied under the Propaganda Distributor Terms and Conditions cannot be returned.
8. Order Placement
Orders must be placed via email at info@chemobiological.com. Please submit your order in writing to prevent miscommunication. Be sure to specify your promotional material needs, including quantities for samples, catch covers, leave-behind cards, gift items, or other materials, as company executives will not automatically send these. Stay updated on company circulars about new products and include them in your orders. Short-expiry products will only be supplied with prior confirmation and are non-returnable. Cash transactions with marketing personnel are not permitted, and the company will not be responsible for any such dealings. We welcome your feedback regarding new product introductions, presentation improvements, and adjustments to MRP based on the latest market trends.
9. Order Value
We do not accept orders totaling less than ₹5,000.
10. Jurisdiction
In the event of any disputes, jurisdiction will be limited to the courts in Delhi. Any dealings or NOC matters with local, state, or national Chemists Associations, if needed, shall be handled by you at your own expense.
